1. Parties to the Agreement
These Terms of Service govern the relationship between Uxally, the provider of software development services based in Azul, Buenos Aires, Argentina, and the Client, defined as any individual or legal entity that contracts our services.
By accepting a proposal, signing an agreement, approving a project, or contracting any service provided by Uxally, the Client agrees to these Terms of Service.
2. Services
Uxally provides professional software development and technology services, including:
- Custom software development.
- Web applications and internal business systems.
- Software-as-a-Service (SaaS) platforms.
- Marketplaces and multi-sided digital platforms.
- Business process automation.
- Third-party API and service integrations.
- Payment system integrations.
- Security audits and code reviews.
- Technical consulting and software architecture.
The specific scope, deliverables, timeline, pricing, and technical requirements for each project will be defined in a proposal, statement of work, service agreement, or other written document accepted by both parties.
3. Pricing and Payments
Unless otherwise agreed in writing, prices are expressed in United States dollars (USD).
Projects may be billed through deposits, milestones, recurring payments, or other payment structures defined in the applicable proposal or agreement.
An initial payment or deposit may be required before work begins.
The Client understands that project timelines may depend on timely payments. If an agreed payment is delayed, Uxally may pause the project until the outstanding amount is resolved. Such a pause will not constitute a breach by Uxally.
Prices do not include taxes, banking fees, transaction fees, or other charges that may apply in the Client's country unless expressly stated.
4. Intellectual Property
Once the project has been paid in full, the Client receives ownership of the custom source code and project-specific deliverables created specifically for the agreed project.
Uxally will provide the source code through the repository or delivery method established in the applicable agreement, together with the technical documentation included in the agreed scope.
The following are not transferred unless expressly agreed:
- Open-source libraries and packages, which remain subject to their respective licenses.
- Third-party tools, platforms, frameworks, or services.
- Pre-existing Uxally code, reusable components, templates, methodologies, and development processes.
- General-purpose tools or technical knowledge developed independently of the Client's project.
Uxally may reference the Client and completed project as part of its portfolio, case studies, or promotional materials unless the Client requests confidentiality in writing or the parties agree otherwise.
5. Confidentiality
Uxally will treat non-public technical, commercial, operational, and strategic information provided by the Client as confidential.
We will not disclose confidential project information to third parties without authorization, except when required by law or when disclosure is necessary to provide the contracted services through authorized providers or collaborators subject to appropriate confidentiality obligations.
This obligation remains in effect during the project and for three years after its completion, unless a different period is established in a separate agreement.
6. Project Timelines and Deliveries
Project timelines are estimates based on the agreed scope, available information, technical complexity, and expected collaboration between the parties.
Uxally will communicate significant delays or changes as reasonably possible.
Project timelines may be affected by:
- Changes requested by the Client.
- Delays in providing required information, content, access, approvals, or feedback.
- Changes to third-party services or APIs.
- Technical dependencies outside Uxally's control.
- Events of force majeure.
Any change to the agreed scope must be documented and may affect the project's price, timeline, and deliverables.
7. Warranty and Post-Delivery Support
Uxally provides a 30-calendar-day warranty period beginning on the final delivery date.
During this period, Uxally will correct, at no additional cost, reproducible software defects directly caused by the delivered implementation and that prevent the system from operating according to the agreed specifications.
The warranty does not include:
- New features or functionality.
- Changes to the original scope.
- Modifications made by the Client or third parties.
- Issues caused by third-party services, APIs, hosting providers, or infrastructure.
- Problems caused by incorrect use or unauthorized changes.
Ongoing maintenance, technical support, monitoring, and future development may be provided under a separate agreement.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Uxally's total liability for claims related to a specific project will not exceed the total amount paid by the Client for that project.
Uxally will not be responsible for indirect, incidental, special, or consequential damages, including loss of revenue, loss of profits, business interruption, or loss of data, except where liability cannot be excluded or limited under applicable law.
Nothing in these Terms limits liability resulting from intentional misconduct or gross negligence where such limitation is prohibited by law.
9. Cancellation
Either party may cancel an active project by providing at least 15 days' written notice, unless a separate project agreement establishes different conditions.
If the Client cancels a project, all work completed and approved expenses incurred up to the cancellation date may be invoiced and must be paid.
Payments already made are non-refundable unless the cancellation results from a material breach attributable to Uxally or unless otherwise established in writing.
10. Applicable Law and Jurisdiction
These Terms are governed by the laws of the Republic of Argentina.
Any dispute related to these Terms or to services provided by Uxally will be submitted to the jurisdiction of the competent courts of Azul, Province of Buenos Aires, Argentina, unless applicable law or a separate written agreement requires otherwise.
11. Changes to These Terms
Uxally may update these Terms of Service when necessary.
Updates will generally apply to future service agreements and will not retroactively modify active projects unless both parties agree in writing.
